Terms of Service

1. Agreement to these terms

These Terms of Service (“Terms”) are a legal agreement between you (and the organization you represent, if any) and Nikhil AI Labs (“Nikhil AI Labs,” “we,” “us,” or “our”) governing your access to and use of our website and our AI copilots and related services (together, the “Services”). By creating an account, subscribing, or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

2. The Services

Nikhil AI Labs provides AI copilots for operational excellence, quality, and continuous improvement — including the Investigation Intelligence Workbench, A3 Coach, Kaizen Event Copilot, Flow Intelligence, DMAIC Intelligence, and Standard Work & TWI Intelligence. The Services are provided as software-as-a-service and may change, improve, or evolve over time.

3. Eligibility

The Services are intended for business and professional use by individuals who are at least 16 years old and able to form a binding contract. They are not intended for consumers or for children.

4. Accounts & access

You access the Services by signing in through our authentication provider. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Access to specific copilots is governed by your active subscription and entitlements. Notify us promptly of any unauthorized use.

5. Subscriptions, billing & trials

• Plans. The Services are offered on à la carte monthly subscription tiers (e.g., Solo, Trio, Suite) that unlock the copilots you select. Prices are shown at checkout.
• Free trial. Paid plans may include a free trial. Unless you cancel before the trial ends, your subscription will convert to a paid subscription and the payment method on file will be charged.
• Billing & renewal. Subscriptions renew automatically each billing period until canceled. Payments are processed by our third-party payment processor (Stripe); by subscribing, you authorize recurring charges to your payment method.
• Changes. You may change which copilots you have selected (within your tier) or change tiers from your account. You may cancel at any time; access continues until the end of the current billing period.
• Taxes & refunds. Fees are exclusive of applicable taxes. Except where required by law, fees are non-refundable.
• Price changes. We may change prices; we will give reasonable notice before a change affects your renewal.

6. Acceptable use

You agree not to, and not to permit others to: (a) use the Services unlawfully or in violation of these Terms; (b) upload content you do not have the right to use, or that infringes others’ rights or violates privacy or confidentiality obligations; (c) attempt to reverse engineer, copy, resell, or create a competing product from the Services; (d) probe, scan, or breach security, or access the Services without authorization; (e) interfere with or disrupt the Services; or (f) use the Services to generate unlawful, harmful, or deceptive content.

7. Your content & data

You retain ownership of the content and data you submit to the Services (“Your Content”). You grant us a limited, non-exclusive license to host, process, and transmit Your Content solely to operate and provide the Services to you — including sending relevant content to our AI provider to generate the results you request. You are responsible for Your Content and for ensuring you have the rights and permissions to submit it. We handle Your Content as described in our Privacy Policy, and we do not sell it or use it to train third-party AI models.

8. AI outputs — advisory only

The Services use artificial intelligence to generate suggestions, classifications, drafts, scores, and analyses. These outputs are advisory and provided to assist qualified professionals. They may be incomplete or incorrect, and they are not a substitute for professional, engineering, quality, regulatory, legal, medical, or financial judgment. You are responsible for independently reviewing, validating, and approving any output before relying on or acting on it. Nikhil AI Labs tools do not replace quality approval, regulatory judgment, or authorized QMS processes, and are not a regulated system of record or an electronic signature.

9. Intellectual property

The Services, including all software, content, and branding (excluding Your Content), are owned by Nikhil AI Labs or its licensors and are protected by intellectual-property laws. Except for the rights expressly granted to use the Services, no rights are transferred to you. Feedback you provide may be used by us without obligation to you.

10. Third-party services

The Services rely on third-party providers (for example, authentication, payment processing, AI, hosting, and storage providers). Your use may be subject to those providers’ terms, and we are not responsible for third-party services.

11. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI OUTPUTS WILL BE ACCURATE OR COMPLETE.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NIKHIL AI LABS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICES IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless Nikhil AI Labs from claims, damages, and expenses (including reasonable legal fees) arising from Your Content, your use of the Services, or your breach of these Terms.

14. Term & termination

These Terms apply while you use the Services. You may stop using the Services and cancel your subscription at any time. We may suspend or terminate access if you breach these Terms or to protect the Services or other users. Provisions that by their nature should survive termination (e.g., ownership, disclaimers, limitation of liability) will survive.

15. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above and, for material changes, provide additional notice where appropriate. Your continued use of the Services after an update constitutes acceptance of the revised Terms.

16. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules. The courts located in Ontario, Canada will have exclusive jurisdiction over any dispute, subject to any mandatory rights you may have under applicable law.
